1. Introduction

1.1 These Creator Terms of Use (“Creator Terms”) govern your access to and use of the Quro Collective platform (“Platform”) as a content creator, host, or journey lead (“Host” or “you”).

1.2 Your use of the Quro website is also subject to our Privacy Policy, available at qurocollective.com/legal/privacy.

1.3 By registering as a Host or accessing the Platform in a Host capacity, you agree to be bound by these Creator Terms. If you do not agree, you must not use the Platform as a Host.

1.4 These Creator Terms do not set out your commercial arrangements with Quro Collective. Revenue share, content fees, payment terms, and all other commercial obligations are addressed in a separate Creator Agreement entered into between you and Quro Collective. In the event of conflict between these Creator Terms and your Creator Agreement, the Creator Agreement prevails.

2. Definitions

In these Creator Terms:

“Booking” means a confirmed purchase of a Journey by a Traveller from Quro Collective.

“Creator Agreement” means any separate commercial agreement entered into between you and Quro Collective governing the terms on which you host Journeys for Quro Collective.

“Creator Content” means content you submit to the Platform in your capacity as a Host, including your host profile, biographical information, photographs, videos, and any personal brand materials, as distinct from Journey Content prepared by Quro Collective.

“Creator Audience Data” means your social media handles, follower and subscriber lists, and channel analytics, which are your property and are used by Quro Collective only as expressly agreed in your Creator Agreement or otherwise authorised by you in writing.

“Privacy Policy” means the Quro Collective Privacy Policy published at qurocollective.com/legal/privacy, as updated from time to time.

“Host” means a content creator, influencer, or public figure who has entered into a Creator Agreement with Quro Collective and uses the Platform to host and lead a Journey.

“Journey” means a curated travel experience developed by Quro Collective in collaboration with a Host, listed on the Platform, and operated by Quro Collective.

“Journey Content” means content prepared by Quro Collective in connection with a Journey, including itineraries, journey descriptions, experience frameworks, and promotional materials, which may incorporate Creator Content and Host Inputs.

“Host Inputs” means information, creative direction, audience context, and personal access or connections that you contribute during Journey development, as described in clause 7.

“Platform” means the Quro Collective website at qurocollective.com, any associated applications, tools, or services operated by Quro Collective.

“Privacy Policy” means Quro Collective’s Privacy Policy published at [qurocollective.com/legal/privacy], as updated from time to time.

“Quro Collective,” “we,” “us,” or “our” means Quro Collective Pty Ltd (ACN 692 832 885).

“Traveller” means a person who books a Journey through the Platform.

“Traveller Data” means any names, contact details, booking information, payment details, enquiries, leads, or registrations generated through the Platform or in connection with a Journey.

3. How the Platform Works

3.1 Quro Collective operates the Platform as a curated travel business. Quro Collective is the operator of Journeys listed on the Platform and the merchant of record for all Journey sales. Travellers enter into a contract with Quro Collective when booking a Journey.

3.2 As a Host, you collaborate with Quro Collective on the development of your Journey, contributing your personal brand, audience context, and unique access to the Journey concept. Quro Collective handles the operational and logistical elements of Journey delivery. Your role is to host and lead the Journey experience and, under the terms of your Creator Agreement, to promote the Journey through your channels and produce content in connection with it.

3.3 Travellers contract with and pay Quro Collective, Quro Collective bears primary liability to Travellers for Journey delivery. Your acts and omissions in connection with a Journey may expose Quro Collective to claims from Travellers or third parties. Clause 12 reflect this allocation of risk.

3.4 These Creator Terms do not create any employment, partnership, joint venture, or agency relationship between you and Quro Collective, except to the extent expressly provided in your Creator Agreement.

4. Eligibility

4.1 To access the Platform as a Host, you must:

(a) be at least 18 years of age;

(b) have the legal capacity to form a binding contract in your jurisdiction;

(c) be acting on your own behalf, or if acting on behalf of a company or other entity, have authority to bind that entity to these Creator Terms;

(d) not be prohibited from accessing or using the Platform under any applicable law; and

(e) have entered into, or be in the process of entering into, a Creator Agreement with Quro Collective.

4.2 By using the Platform as a Host, you represent and warrant that you meet all eligibility requirements above.

5. Account Registration and Security

5.1 You must register an account to access host features of the platform. You agree to provide accurate, current, and complete information when registering and to keep your account information up to date.

5.2 You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether or not authorised by you.

5.3 You must notify Quro Collective immediately at hello@qurocollective.com if you become aware of any unauthorised access to or use of your account. Quro Collective is not liable for any loss or damage arising from unauthorised access where you have failed to notify us promptly.

5.4 You must not share your account credentials with any third party or allow any other person to access the Platform through your account.

6. Your Obligations as a Host

6.1 Accuracy of your contributions. You represent and warrant that all Creator Content and Host Inputs you submit to the Platform or provide to Quro Collective — including your host profile, biographical information, and any claims about your personal access, connections, or expertise — are accurate, complete, and not misleading. You must promptly notify Quro Collective of any material change to any information you have provided.

6.2 Cooperation. You must cooperate with Quro Collective’s reasonable requirements in connection with Journey development and delivery, including engaging in good faith on Journey concept and itinerary discussions, being available for reasonable planning communications, and sharing relevant audience and content context to inform Journey design.

6.3 Hosting and leading Journeys. You must host and lead your Journey in a professional manner, with reasonable care and skill, and in compliance with all applicable laws. You must not do anything while hosting a Journey that could expose Quro Collective to liability, harm any Traveller, or damage Quro Collective’s brand or reputation.

6.4 Conduct and prohibited use. You must not:

(a) submit content that is false, misleading, defamatory, offensive, or that infringes any third-party rights;

(b) publicly announce, post, comment on, or otherwise represent anything about Quro Collective or a proposed or active Journey without Quro Collective’s prior written consent;

(c) use the Platform to engage in spam, unsolicited communications, or to harvest personal information;

(d) use the Platform in any way that interferes with, disrupts, or damages the Platform or its underlying infrastructure;

(e) attempt to gain unauthorised access to any part of the Platform, other accounts, or connected systems;

(f) use automated tools, bots, or scrapers to extract data from the Platform; or

(g) misrepresent your identity, credentials, or affiliation.

6.5 Data — customer information and creator audience information.

(a) Customer information. Any traveller, booking, lead, registration, enquiry, or customer data generated through the Platform or in connection with a Journey (“Customer Information”) is owned and controlled by Quro Collective. In the course of hosting a Journey, you may receive limited Customer Information from Quro Collective for operational purposes. You must use Customer Information solely for the purpose of hosting and delivering the relevant Journey, and must not contact, market to, solicit, or retain any Traveller or prospective Traveller independently, except as expressly authorised in writing by Quro Collective. You must handle all Customer Information in accordance with the Privacy Policy and all applicable privacy and data protection laws, and disclose it only where necessary for Journey delivery, with Quro Collective’s prior written approval, or as required by law.

(b) Creator audience information. Your social media handles, follower and subscriber lists, and channel analytics (collectively, “Creator Audience Data”) remain your property at all times and are not assigned, licensed, or otherwise transferred to Quro Collective under these Creator Terms. Quro Collective will not use your Creator Audience Data for any purpose other than as expressly authorised by you in writing. For the avoidance of doubt, Creator Audience Data does not include the names, contact details, booking information, or any other personal information of any Traveller or prospective Traveller.

6.7 No direct commercial arrangements with Travellers. You must not enter into direct commercial arrangements with Travellers in connection with a Journey listed on the Platform without Quro Collective’s prior written consent.

7. Intellectual Property

Your content and creative territory

7.1 Your pre-existing content, brand, trade marks, name, likeness, and Creator Content remain your property. These Creator Terms operate to grant licences to Quro Collective as described below; they do not operate as an assignment of any intellectual property rights.

Licence for Creator Content

7.2 By submitting Creator Content to the Platform (such as your host profile, photographs, and biographical materials), you grant Quro Collective a non-exclusive, worldwide, royalty-free, perpetual, sub-licensable, and transferable licence to access, reproduce, store, display, adapt, distribute, publish, and transmit that Creator Content for the purpose of operating the Platform and promoting Journeys for which you are contracted as Host.

Host Inputs during Journey development

7.3 During Journey development, you may contribute two categories of Host Inputs:

(a) General Inputs — audience insights, content style preferences, and high-level creative direction. Quro Collective may use and build on General Inputs in developing the Journey, including incorporating them into the Journey Brief, itinerary, and experience design. General Inputs do not create co-ownership of resulting Journey Content.

(b) Impossible Moments — your personal relationships, connections, or access that are specific to you and that Quro Collective acknowledges in writing as the basis for the Journey. Where Impossible Moments have been acknowledged in writing by Quro Collective, Quro Collective will not develop or deliver a substantially similar journey experience built primarily around those Impossible Moments with a different host, without your prior written consent.

7.4 Journey Content. Journey Content — including itineraries, journey descriptions, experience frameworks, logistics sequencing, and promotional materials — is developed by Quro Collective and owned by Quro Collective, whether or not it incorporates your General Inputs or reflects your creative direction.

Collaborative content

7.5 If any content is mutually agreed to be created by you for or in connection with a Journey, ownership and licensing terms will be agreed in writing before creation commences, and will form part of your Creator Agreement or a separate written agreement. In the absence of such written agreement, you retain ownership of any content you create and grant Quro Collective a non-exclusive licence to use it in connection with the relevant Journey only.

Moral rights

7.6 To the extent permitted by law, you consent to Quro Collective exercising the acts comprised in the licence in clause 7.2 without attributing authorship to you where it is reasonable in the circumstances not to do so.

Your representations

7.7 You represent and warrant that:

(a) you own or have all necessary rights, licences, and consents to submit Creator Content and to grant the licence in clause 7.2;

(b) your Creator Content does not infringe any intellectual property rights or other rights of any third party; and

(c) your Creator Content does not contain any material that is unlawful, defamatory, or in violation of any applicable law.

Platform IP

7.8 The Platform — including qurocollective.com, its software, design, brand, trade marks, operational methodologies, logistics frameworks, supplier networks, and pricing models — is owned by or licensed to Quro Collective.

8. Content Moderation and Platform Rights

8.1 Quro Collective reserves the right, at its sole discretion and without prior notice, to remove, edit, or restrict access to any Creator Content that:

(a) violates these Creator Terms;

(b) is inaccurate, misleading, or offensive;

(c) infringes the rights of any third party; or

(d) is otherwise harmful to Travellers, other users, third parties, or the Platform, or that exposes Quro Collective to legal or reputational risk.

8.2 Quro Collective may suspend or terminate your access to the Platform as a Host at any time, with or without notice, for breach of these Creator Terms, for any breach of your Creator Agreement, or for any other reason in our sole discretion. Termination of Platform access does not affect any rights or obligations under your Creator Agreement.

8.3 Quro Collective may preserve and disclose Creator Content to the extent required to comply with any applicable law or legal process, respond to claims that Creator Content violates the rights of third parties, or protect the rights, property, or safety of Quro Collective, Travellers, or the public.

9. Privacy

How Quro Collective collects, uses, and handles personal information is set out in our Privacy Policy, which forms part of these Creator Terms. By using the Platform, you consent to our collection and use of personal information as described in the Privacy Policy.

10. AI-assisted tools and platform data

10.1 Quro Collective operates AI-assisted tools, including a Journey Builder, that generate hypothetical journey concepts for internal and external planning purposes.

10.2 In using the Platform, you acknowledge that:

(a) journey concepts generated by these tools are indicative and exploratory only, and do not constitute a confirmed itinerary, booking, or commercial arrangement;

(b) where a concept generated by such tools references your name or profile, it forms part of a concept-generation process and does not represent a confirmed engagement, commercial arrangement, or affiliation between you and Quro Collective;

(c) Quro Collective collects and uses information you submit through the Platform and its tools (including profile information, journey preferences, and correspondence) for the purposes of operating the platform, developing journey concepts, matching hosts to journeys, and communicating with you as a prospective or contracted host; and

(d) information submitted through the Creator Discovery Hub (hub.quroforcreators.club) is used for Quro Collective’s internal business purposes.

11. Disclaimer of Warranties

11.1 The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Quro Collective makes no warranties, representations, or guarantees, express or implied, in relation to the Platform or its features, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Platform will be uninterrupted or error-free.

11.2 This disclaimer relates to the Platform as a tool. It does not affect Quro Collective’s obligations to Travellers as the operator of Journeys, which are addressed in the Traveller Terms of Use and under applicable law.

12. Limitation of Liability

12.1 Scope. The limitations in this clause govern Quro Collective’s liability to you as a Host in connection with your use of the Platform. They do not govern Quro Collective’s liability to Travellers, which is addressed separately.

12.2 Exclusion of consequential loss. To the maximum extent permitted by law, Quro Collective is not liable to you for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of goodwill, or loss of opportunity, arising out of or in connection with these Creator Terms or your use of the Platform.

12.3 Liability cap. To the maximum extent permitted by law, Quro Collective’s total aggregate liability to you in connection with these Creator Terms or the Platform shall not exceed the greater of:

(a) AUD $100; or

(b) the total amounts paid by Quro Collective to you under your Creator Agreement in the three (3) months immediately preceding the event giving rise to the claim.

12.4 Australian Consumer Law — mandatory carve-out. Nothing in these Creator Terms excludes, restricts, or modifies any right, remedy, guarantee, warranty, or other term or condition implied or imposed by the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) that cannot lawfully be excluded or limited. To the extent that the Australian Consumer Law applies and permits Quro Collective to limit its liability for breach of a statutory guarantee, Quro Collective’s liability is limited to re-supplying the relevant services or paying the cost of re-supply.

13. Indemnification

13.1 Because Travellers contract with and pay Quro Collective, Quro Collective may be exposed to claims from Travellers or third parties arising from your acts or omissions. You therefore agree to indemnify, defend, and hold harmless Quro Collective and its officers, directors, employees, agents, and affiliates from and against any claims, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

(a) your breach of these Creator Terms;

(b) any Creator Content or Host Inputs you provide that are inaccurate, misleading, or infringe any third-party rights;

(c) your misuse of the Platform;

(d) your breach of any applicable law or the rights of any third party; and

(e) your acts or omissions in hosting, leading, or delivering any Journey, including any injury, loss, or damage suffered by a Traveller arising from your conduct.

13.2 Quro Collective will notify you promptly of any claim for which indemnification is sought, will give you reasonable opportunity to participate in the defence (at your cost), and will not settle any such claim without your prior consent (not to be unreasonably withheld), provided that Quro Collective may take reasonable steps to protect its own interests where delay would cause material harm.

14. Termination

14.1 Termination by you. You may terminate your use of the Platform as a Host at any time by ceasing to access the Platform and requesting account deletion at hello@qurocollective.com. Termination of Platform access does not affect any rights or obligations under your Creator Agreement.

14.2 Termination by Quro Collective. Quro Collective may suspend or terminate your access to the Platform at any time, with or without notice and without liability, for any reason including:

(a) your breach of these Creator Terms or your Creator Agreement;

(b) conduct that harms Travellers, other users, third parties, or the integrity of the Platform; or

(c) any other reason at Quro Collective’s sole discretion.

14.3 Effect of termination. On termination:

(a) all licences granted to you under these Creator Terms cease immediately;

(b) you must cease all use of the Platform in a Host capacity;

(c) the licence granted to Quro Collective under clause 7.2 continues to apply to Creator Content already submitted and used in connection with past or committed Journeys; and

(d) clauses 7, 11, 12, 13, 17, and any other provisions that by their nature should survive, continue in full force and effect.

15. Copyright Complaints

If you believe that any content on the Platform infringes your copyright, contact us at hello@qurocollective.com with details of the work claimed to be infringed, the location of the infringing content, your contact details, and a statement that you have a good-faith belief the use is not authorised. Quro Collective will respond to valid complaints in accordance with applicable law.

16. Modifications to These Terms

16.1 Quro Collective may modify these Creator Terms at any time by posting updated terms on the Platform. For material changes, we will provide at least 14 days’ notice via email to your registered address or in-platform notification.

16.2 Continued use of the Platform as a Host after the effective date of any update constitutes your acceptance of the updated Creator Terms. If you do not accept a modification, you must cease using the Platform and notify us at hello@qurocollective.com.

17. Governing Law and Jurisdiction

17.1 These Creator Terms are governed by the laws of Victoria, Australia.

17.2 Each party irrevocably submits to the non-exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia in respect of any dispute arising under or in connection with these Creator Terms.

18. General

18.1 Relationship to Creator Agreement. These Creator Terms govern your use of the Platform only. Your commercial relationship with Quro Collective is governed by your Creator Agreement. In the event of conflict, the Creator Agreement prevails.

18.2 Entire platform agreement. These Creator Terms constitute the entire agreement between you and Quro Collective in relation to your use of the Platform as a Host.

18.3 Severability. If any provision is found invalid or unenforceable, it will be severed and the remaining provisions continue in full force.

18.4 No waiver. Failure by Quro Collective to enforce any provision is not a waiver of that provision or of the right to enforce it in the future.

18.5 Assignment. Quro Collective may assign its rights and obligations under these Creator Terms without your consent. You may not assign without Quro Collective’s prior written consent.

18.6 Notices. Notices to you will be sent to your registered email address. Notices to Quro Collective should be sent to hello@qurocollective.com or Quro Collective Pty Ltd, Suite 35, Level 1, 431 St Kilda Road, Victoria 3004, Australia.
